Terms of Service

Neirom is operated by Daniel Cirillo, a sole trader based in the United Kingdom, trading as Neirom. In these terms, "we", "us" and "Neirom" mean Daniel Cirillo, and "you" means the person or organisation using the service.

If you are using Neirom on behalf of a business, you confirm you have authority to enter into these terms on its behalf. If you are using it as an individual, you confirm you are old enough to enter into a contract where you live.

By creating an account or continuing to use Neirom, you agree to these terms. If you do not agree, please stop using the service and close your account.

We may update these terms as the product changes. Where a change materially affects your rights we will tell you in the app or by email before it takes effect.

Neirom is a marketplace risk intelligence and decision-support tool. You submit listing content — such as titles, descriptions, tags, categories and images — and Neirom analyses it using automated systems, including AI models, to highlight content that may carry compliance or policy risk on online marketplaces.

Neirom produces recommendations and risk indicators. It does not review your listings on behalf of any marketplace, does not act for any marketplace, and cannot guarantee that a listing will be accepted, will stay published, or will not be actioned by a marketplace. Neirom does not provide legal advice. Nothing in the product is a substitute for reading the official policies of the marketplace you sell on, or for advice from a qualified lawyer.

You must give accurate registration information and keep it up to date. You are responsible for keeping your login credentials confidential and for activity that happens under your account.

Tell us promptly if you believe someone has accessed your account without permission.

Neirom is offered on a free plan and paid subscription plans. Each plan includes a monthly allowance of checks (scans). Allowances are enforced automatically and reset on your monthly cycle. Unused checks do not roll over.

Plan prices, allowances and billing mechanics are described in the Subscription & Billing Terms, which form part of this agreement.

You must not use Neirom to:

• break the law, or help anyone else break the law
• commit fraud, send spam, or misrepresent who you are
• upload content you do not have the rights to submit
• upload unlawful material, including content that sexualises minors or incites violence
• attempt to disrupt, probe, overload, reverse engineer or gain unauthorised access to the service or its infrastructure
• scrape the service, resell or redistribute its output as a competing product, or circumvent plan limits
• use the service to attempt unauthorised access to any marketplace, or to evade a marketplace's enforcement or account restrictions

You keep ownership of the listing text, images and other material you submit. You grant us a limited licence to host, process and analyse that content solely to provide the service to you — including sending it to our AI processing provider to generate your results, and storing results and evidence in your account history.

We do not sell your content, and we do not use your listing content to train external AI models. Our AI provider processes your content to return a result for you; we do not authorise it to be used for model training. If this ever changes, we will tell you in advance and ask for your consent where the law requires it.

Uploaded images are retained for a limited period and then deleted automatically, except where they are still attached to an open action in your account. Retention periods are described in the Privacy Policy.

We own the Neirom service, including its software, risk rules, interface, branding and documentation. Your subscription gives you a limited, non-exclusive, non-transferable right to use the service under your chosen plan. Nothing in these terms transfers our intellectual property to you.

We work to keep Neirom available and accurate, but we do not guarantee uninterrupted or error-free operation. The service depends on third-party infrastructure and AI providers, and may be unavailable during maintenance or incidents.

To the fullest extent permitted by law, the service is provided "as is" and we disclaim implied warranties, including merchantability and fitness for a particular purpose.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Billing, renewals, cancellations, taxes and refunds are handled through Paddle and are described in our Subscription & Billing Terms, Cancellation Policy and Refund Policy. Paddle's own terms apply to the purchase transaction: https://www.paddle.com/legal/checkout-buyer-terms

The term 'Etsy' is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc. Neirom is not affiliated with, sponsored by or certified by Etsy, Inc., and nothing in Neirom is an official Etsy review or decision.

Where Neirom offers a marketplace connection, it accesses data only through that marketplace's official API, with read-only least-privilege permissions you authorise yourself, and never by scraping, credential sharing or circumventing any API control. You must also comply with the marketplace's own terms, and you may disconnect at any time from Settings or from your marketplace account. See our Etsy Integration page for detail.

You can stop using Neirom at any time by cancelling your subscription and deleting your account from Settings.

We may suspend or terminate access where there is material breach of these terms, non-payment, a security or fraud risk, or repeated or serious misuse. Where it is reasonable and lawful to do so, we will warn you first and give you a chance to put things right.

When your account ends, we delete or anonymise your data as described in the Privacy Policy. Export your data before deleting your account if you want to keep it.

Neirom is a decision-support tool. You remain responsible for what you publish on any marketplace and for complying with that marketplace's policies and with the law.

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, including lost profits, lost sales, lost data, loss of goodwill, marketplace account suspension, listing removal, or fines or penalties imposed by a marketplace or third party.

To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

You agree to indemnify us against claims, losses and reasonable costs arising from your content, your unlawful use of the service, or your breach of these terms.

These terms are governed by the laws of England and Wales, and the courts of that jurisdiction have exclusive jurisdiction over disputes, unless mandatory consumer law in your country gives you the right to bring proceedings elsewhere.

You may not assign these terms without our consent. We may assign them as part of a merger, acquisition or business transfer.

Neither party is liable for failure to perform caused by events beyond its reasonable control.

If any clause is found unenforceable, the rest of the terms remain in force.
